Company Registration
The Bulgarian Point of Single Contact states that the Commercial Register is maintained by the Registry Agency to the Ministry of Justice. The procedure for registering a company is the same for Bulgarian and foreign citizens, and applications can be submitted on paper or electronically where the electronic-signature rules are met.
Applications and attachments are submitted in Bulgarian. Documents in another official EU language can be submitted with a certified Bulgarian translation.
The most common legal forms include sole proprietor, sole owner limited liability company, limited liability company, sole owner joint-stock company, and joint-stock company. For many startup cases, a limited liability company structure may be the first form to analyse, but investors, liability, governance, regulated activity, tax, and immigration facts can change that conclusion.
UIC And Tax Registration
The Commercial Register process matters beyond company law. The Point of Single Contact states that after entry in the Commercial Register, ex officio registration of the merchant is made for National Insurance Institute contribution purposes and in the National Revenue Agency register for tax purposes.
For a StartUp Visa founder, the key question is not just whether the company exists. The company records should match the approved project: founders, ownership, product, contracts, research, revenue, bank records, invoices, expenses, payroll, and accounting should all point to the same business.
VAT
Bulgaria’s VAT registration can be mandatory or optional. The National Revenue Agency’s Bulgarian VAT page states that from January 1, 2026, established taxable persons have a mandatory registration obligation when annual turnover in Bulgaria exceeds the national threshold of EUR 51,130.
Older Ministry of Finance VAT material may still show the prior BGN 100,000 threshold. Because Bulgaria adopted the euro on January 1, 2026, applicants should check the current NRA page and live VAT registration instructions before invoicing.
Corporate Tax
The Ministry of Finance states that Bulgaria’s corporation tax rate is 10%, assessed on tax profit. Taxable persons submit an annual corporate tax return for the tax financial result and annual corporation tax due, with an annual activity report where required.
For founders, corporate tax is only one part of the setup. Personal tax, payroll, social security, withholding tax, VAT, accounting standards, transfer pricing, and cross-border customer contracts may all matter.
