Startup Company Setup

Startup Lithuania frames Startup Visa around founders who establish a startup in Lithuania. It also notes that the startup route removes certain capital and employment requirements that would otherwise matter for obtaining a residence permit, provided the business idea is approved as suitable by the expert panel.

That relief does not mean “no company discipline”. Founders still need clean incorporation, shareholder, director, bank, accounting, contract, payroll, and tax records that support the startup story.

Individual Activity

Lithuania’s State Tax Inspectorate distinguishes individual activity under a certificate from activity under a business licence. Individual activity under a certificate can generally begin from the date a correctly completed request is submitted through Mano VMI, and the activity can be indefinite.

For immigration planning, individual activity is not the Startup Visa itself. It may be relevant for a person who already has a residence basis and is allowed to engage in self-employed activity, or for side activities that do not conflict with the residence basis. It should not be used to rebrand ordinary freelancing as a startup-founder case.

Business Licence Limits

The business licence route is narrower. VMI states that from January 1, 2026, business-licence income can be up to EUR 50,000 per tax period before the excess is taxed as individual activity under a certificate. It also describes customer restrictions, including limits on income from legal entities and restrictions where the customer’s activity overlaps.

For a startup founder, a business licence is usually the wrong core structure. It is too narrow for most scalable startup activity.

VAT And Profit Tax

VAT should be checked before invoices go out. Lithuanian customers, EU business customers, non-EU customers, digital services, marketplaces, and cross-border services can produce different VAT outcomes.

For companies, VMI’s 2026 profit-tax materials state that the standard corporate profit tax rate is 17% for 2026 and later tax periods. Small entities can have preferential treatment if the detailed statutory conditions are met, including a 7% small-entity rate and a 0% first/second-period rule in certain cases.

Work-Boundary Risks

The safest startup file has one clear centre of gravity: the Lithuanian startup. If the applicant’s real activity is foreign payroll employment, ordinary freelancing, or passive investment, the Startup Visa route becomes weak.
